Terms of Service

Broker Lockbox is a document control and operations workspace built for freight brokers and freight brokerages. The Service includes tools for signing and exporting freight documents, generating rate confirmations and bills of lading, Vault file storage, invoicing, driver tracking, email and SMS delivery of documents, financial metrics, and related brokerage operations features.

Access to specific features depends on your subscription plan or pay-per-export credits.

You must be at least 18 years old and have legal authority to enter into contracts to use the Service. By creating an account on behalf of a company, you represent that you have authority to bind that company to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

You own your documents. Files you upload, generate, or store in Broker Lockbox remain your property. We do not claim any ownership rights over your documents. You grant us a limited license solely to store, process, and transmit your files for the purpose of providing the Service to you.

We do not sell, share, or use your documents for any purpose other than operating the Service. We do not use your documents to train AI or machine learning models.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Upload or distribute fraudulent, forged, or misleading documents
• Use the Service to harass, threaten, or defraud any person or entity
• Attempt to gain unauthorized access to any account, system, or network
• Use the Service to violate any applicable law or regulation
• Reverse engineer, decompile, or attempt to extract source code from the platform
• Resell, sublicense, or commercialize access to the Service without written authorization
• Use automated scrapers or bots to extract data from the platform
• Upload malware, viruses, or any malicious code

We reserve the right to suspend or terminate accounts that violate these terms at our sole discretion.

SMS consent: By providing a mobile number and using SMS features, you consent to receive transactional SMS from BrokerLockbox. You may opt out by replying STOP. Mobile information will not be sold or shared with third parties for marketing purposes.

Payment processing is handled by Stripe. By subscribing or purchasing credits, you authorize Stripe to charge your payment method on the billing schedule you select.

Subscriptions: Subscription plans are billed on a recurring basis (monthly or annually) at the rate displayed at time of purchase. Prices may change with advance notice.

Pay-per-export: Some features (such as signed PDF exports) are available on a pay-per-use basis without a subscription.

Refunds: All sales are final. We do not offer refunds for subscription periods that have already begun, pay-per-export credits consumed, or add-ons purchased. If you believe you were charged in error, contact [email protected] within 14 days.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date. After cancellation, your Vault files will remain accessible for a grace period of 30 days before deletion, giving you time to export your data.

Document exports and email/SMS delivery are provided as a convenience. We do not guarantee delivery of emails or SMS messages to any recipient, as delivery depends on factors outside our control (recipient servers, carrier filtering, etc.). We are not liable for failed deliveries, delays, or any consequences arising from undelivered communications.

Exports are provided "as-is." You are responsible for verifying the accuracy of exported documents before use in any transaction or legal context.

If the platform includes user-generated carrier reports or reviews, you are solely responsible for the accuracy and legality of any content you submit. We do not verify the accuracy of user-submitted reports. We reserve the right to remove any report that violates these Terms or applicable law. Reports that are defamatory, fraudulent, or unlawful will be removed upon notice.

We strive for high availability but do not guarantee that the Service will be available at all times. The Service may be interrupted for maintenance, updates, or factors beyond our control. We are not liable for losses or damages resulting from downtime or service interruptions.

The Broker Lockbox platform, including its design, code, features, and branding, is owned by us and protected by applicable intellectual property laws. These Terms do not grant you any rights in our intellectual property. Feedback you provide may be used by us without obligation or compensation.

To the maximum extent permitted by applicable law, Broker Lockbox and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or loss of business, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the 3 months preceding the claim.

You agree to indemnify and hold harmless Broker Lockbox and its affiliates from any claims, losses, damages, liabilities, and expenses (including attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

These Terms are governed by the laws of the United States. Any disputes arising under these Terms shall be resolved in accordance with applicable US law.

We may update these Terms from time to time. We will notify you of material changes by updating the effective date at the top of this page. Continued use of the Service after changes constitutes your acceptance of the updated Terms.
